Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the FSQA.app mobile application (the "Service") operated by FSQA Services LLC ("us", "we", or "our"). These Terms govern your access to and use of the Service and apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

• Eligibility: You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and legally capable of entering into binding contracts.
• Account Information: You must provide accurate, complete, and current information when creating an account. You are responsible for keeping your information up to date. Failure to do so may result in immediate termination of your account.
• Account Security: You are responsible for safeguarding your password and for all activities or actions under your account. Notify us immediately at [support@fsqa.app] if you suspect unauthorized use of your account.

• Subscription Fees: Each company account is subject to a monthly subscription fee of $150 USD, which includes:
  
  • Access to all compliance documentation in one app.
  • Role and permission management.
  • 2 TB of cloud storage per company.
  • Two (2) user accounts per company. Additional users can be added for $50 USD per user per month.
• Billing: Subscription fees are charged monthly in advance. By subscribing, you authorize us to automatically charge your payment method each month until you cancel.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting [support@fsqa.app]. Cancellation takes effect at the end of the current billing period, and no refunds will be issued for partial months.
• Fee Changes: We reserve the right to adjust subscription fees. We will provide at least 30 days' notice of any changes, which will apply to the next billing cycle.

You agree not to use the Service to:

• Engage in any unlawful purpose or solicit others to perform unlawful acts.
• Violate any international, federal, state, or local laws, rules, or regulations.
• Infringe upon our intellectual property rights or those of others.
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
• Submit false or misleading information.
• Upload or transmit viruses, malware, or any code that may harm the Service, related websites, or the internet.
• Collect or track the personal information of others without consent.
• Spam, phish, pharm, pretext, spider, crawl, or scrape.

We reserve the right to suspend or terminate your account if you violate these rules.

• Ownership: The Service, including its original content (excluding user-provided content), features, and functionality, is the exclusive property of FSQA Services LLC and its licensors.
• User Content: You retain ownership of the content you upload but grant us a non-exclusive, royalty-free license to use, store, and display it as needed to provide the Service.

The Service may contain links to third-party websites or services not owned or controlled by FSQA Services LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of these third-party sites or services. You use them at your own risk and should review their terms and policies. We are not liable for any damage or loss caused by your use of or reliance on such sites or services.

• By Us: We may terminate or suspend your access to the Service immediately, without prior notice or liability, for reasons including but not limited to:
  
  • Breach of these Terms.
  • Legal requirements.
  • Prolonged inactivity.
• By You: You may terminate your account at any time by following the instructions in the app or contacting [support@fsqa.app].
• Effect of Termination: Upon termination, your right to use the Service ends immediately. Provisions such as ownership, warranty disclaimers, indemnity, and limitations of liability will survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes will be resolved through binding arbitration in Texas, except for matters eligible for small claims court. You waive any right to participate in class actions.

We may modify or replace these Terms at any time. For material changes, we will provide at least 30 days' notice via email or in-app notifications. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

• Disclaimers: The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation.
• Limitation of Liability: To the fullest extent permitted by law, FSQA Services LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, even if advised of the possibility of such damages.

You agree to indemnify and hold FSQA Services LLC, its affiliates, officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

• Entire Agreement: These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and FSQA Services LLC regarding the Service.
• Waiver: Our failure to enforce any right or provision does not waive that right or provision.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.
